Form LLC-1, the Articles of Organization, is the document filed with the California Secretary of State to legally create a limited liability company. Once it is filed and accepted, your LLC exists — but a few more steps (Statement of Information, EIN, operating agreement) finish setting it up properly.
What forming an LLC takes
- A unique LLC name that meets California naming rules.
- A California agent for service of process (registered agent).
- Management structure — member-managed or manager-managed.
- The LLC-12 Statement of Information within 90 days, plus the $800 annual franchise tax owed to the FTB.
