Form LLC-12, the Statement of Information, tells the California Secretary of State who manages the LLC, where it is located, and who its agent for service of process is. Filing it keeps the LLC in good standing; missing it can lead to penalties and suspension.
When you file LLC-12
- An initial Statement of Information is due within 90 days of forming the LLC.
- After that, you file every two years (the biennial filing period).
- File an updated one whenever key information (address, managers, agent) changes.
