The Articles of Incorporation are filed with the California Secretary of State to create a corporation. Form ARTS-GS is the standard general-stock version; nonprofits and mission-driven companies use the corresponding public-benefit or nonprofit Articles. Once filed, you finish setup with bylaws, an EIN, and the Statement of Information.
What incorporating takes
- A unique corporate name and a California agent for service of process.
- The number of authorized shares (for a stock corporation).
- SI-550 Statement of Information within 90 days, then annually.
- The $800 annual franchise tax owed to the Franchise Tax Board.
