If your LLC was formed in another state (a "foreign" LLC) and you want to do business in California, you must register it with the California Secretary of State using the Application to Register a Foreign Limited Liability Company (Form LLC-5). Once registered, the LLC has the same California compliance and tax duties as a California LLC.
What foreign registration takes
- A current Certificate of Good Standing from the LLC's home state.
- A California agent for service of process.
- The LLC-12 Statement of Information after registering, and the $800 annual franchise tax.
